Introduction

These Terms of Service (“Terms”) form a binding legal agreement between you (“you”, “User”) and Radom Pay Limited (“Radom”, “we”, “our”, or “us”), governing your use of our services, APIs, applications, platforms, and all associated tools and features (collectively, the “Services”). By accessing or using our Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use the Services.


2. Eligibility

You may only use the Services if you are at least 18 years old and legally capable of forming a binding contract under applicable law.

3. About the Services

Radom Pay Limited is a provider of technological infrastructure that enables businesses and individuals to interact with cryptocurrency and fiat financial systems.  Services include, but are not limited to:

  • Cryptocurrency and stablecoin payment processing
  • Mass crypto payouts and on-chain disbursements
  • Crypto-to-fiat and fiat-to-crypto settlement
  • Virtual IBANs and FX payment capabilities (via third-party banking partners)
  • No-code and API-based integrations for Web3 commerce
  • Automated crypto subscriptions and recurring billing
  • Crypto custody and exchange services (offered by a licensed entity)

Regulated Activities

Certain Services, such as digital asset custody and crypto exchange functionalities, are provided by our regulated affiliate Radom Pay Spółka z ograniczoną odpowiedzialnością, a MiCA-compliant Virtual Asset Service Provider (VASP) licensed in Poland.

Radom does not itself provide Payment Initiation Services (PIS) under PSD2; where such services are facilitated (e.g., for fiat on-ramps), they are delivered via regulated third-party providers.

Where crypto-to-fiat transactions are involved, we may engage third-party processors to assist with settlement. The terms of these providers, which you agree to be bound by, are incorporated by reference in Annex 1.

Radom is not liable for the performance, compliance, or actions of these third-party service providers.

4. Risks and Disclaimers

You acknowledge and agree that:

  • Digital assets are volatile and carry substantial risk.
  • No Services are insured by deposit protection schemes (FSCS, FDIC, SIPC, or equivalents).
  • Transactions are irreversible, and may be subject to hacking, loss, or fraud.
  • Radom does not provide investment, tax, or legal advice.
  • Radom disclaims liability for third-party actions, network failures, blockchain errors, smart contract failures, or regulatory changes outside our control.

5. User Responsibilities

By using our Services, you agree to:

  • Comply with all applicable laws and regulations (AML, CTF, sanctions compliance).
  • Provide accurate, complete, and up-to-date information.
  • Secure your access credentials.
  • Promptly notify us of any suspected breach or unauthorized access.
  • Pay all applicable fees and taxes related to your use of the Services.

6. Prohibited Activities

You agree not to use the Services to:

  • Engage in fraud, terrorism financing, sanctions evasion, or money laundering.
  • Violate the intellectual property of others.
  • Distribute malware or harmful code.
  • Facilitate high-risk financial activities (e.g., Ponzi schemes).
  • Engage in unlicensed gambling, adult services, or illicit finance.

Violation may result in immediate suspension, termination, and reporting to authorities.

7. Fees and Payments

The Services are subject to fees, including but not limited to transaction fees, network fees, and subscription fees. You authorize Radom to deduct these automatically where applicable.

You are solely responsible for any taxes arising from your use of the Services. Radom does not provide tax advice or assume liability for your tax obligations.

8. Intellectual Property

Radom retains all intellectual property rights in the Services, including software, trademarks, documentation, and APIs.

You are granted a limited, non-exclusive, revocable license to use the Services solely for lawful purposes.

You may not:

  • Copy, decompile, reverse-engineer, or modify the Services.
  • Reproduce or use Radom branding without explicit permission.
  • Sub-license, sell, or otherwise transfer access rights.

Radom reserves the right to display your company logo for promotional purposes unless otherwise agreed in writing.

9. Data Protection and Confidentiality

Radom applies reasonable, industry-standard security measures to protect your data. Please refer to our Privacy Policy for detailed information about how your data is collected, used, and protected.

You acknowledge that electronic transmission is not entirely secure and that Radom disclaims liability for breaches unless caused by gross negligence or willful misconduct.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Radom shall not be liable for indirect, incidental, punitive, special, or consequential damages (including loss of profits, business, or data).
  • Radom’s total aggregate liability shall not exceed the total fees paid by you to Radom in the 12 months preceding the claim

11. Indemnification

You agree to defend, indemnify, and hold harmless Radom, its affiliates, directors, officers, and employees from and against any third-party claims, liabilities, damages, or costs arising out of:

  • Your use of the Services .
  • Your violation of these Terms.
  • Your violation of applicable laws or third-party rights.



12. Dispute Resolution

Informal Resolution

You agree to first attempt to resolve any dispute informally by contacting us at contact@radom.com. If a resolution cannot be reached within 60 days, the matter may proceed to arbitration.

Arbitration

Disputes shall be submitted to final and binding arbitration under the London Court of International Arbitration (LCIA) Rules.

  • Each party bears its own costs unless otherwise ordered.

Class Action Waiver

You agree to resolve disputes individually and not as part of any class or representative action.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Non-arbitrable disputes shall be submitted to the exclusive jurisdiction of the courts of London, UK.

14. Amendments

We may update these Terms from time to time. Material changes will be notified to you. Continued use of the Services following changes constitutes your acceptance.

15. Miscellaneous

  • Severability: If any provision is deemed invalid, the remaining provisions remain in effect.
  • Force Majeure: Neither party is liable for events outside their reasonable control.
  • Waiver: Failure to enforce a right is not a waiver of that right.
  • Entire Agreement: These Terms supersede all prior agreements regarding the Services.
